What You’ll Do

Position Summary

The Corporate Paralegal will assist with the day-to-day operations of the Legal Department providing support to the General Counsel, Senior Corporate Counsel and Latham Group’s commercial and operating teams. This individual will support the contract review and signature process, assist with the management of litigation, provide administrative leadership in the areas of vendor invoicing and payments and budgeting and support the corporate compliance program. Core Duties and Responsibilities

  • Commercial Contracts Management:
  • Act as a liaison between internal business partners, legal department, and external vendors as necessary for contract drafting, negotiations, processes, and inquiries; ensure fully executed contracts are properly entered into the contracts management system and update information, as required.
  • Maintain template agreements, proofread documents, and edit and draft contracts and amendments (e.g., non-disclosure agreements; confidentiality, non-compete, non-solicitation agreements; purchase orders; supplier terms and conditions) under the supervision of attorneys
  • Draft, review, and revise initial drafts of sales and marketing agreements, site operating agreements, technology contracts, real estate leases, and other agreements that may be assigned from time to time.
  • Perform legal research, including review of governing documents, case law, and federal, state, and local statutes
  • Contracts administration, including coordination of non-disclosure agreements, maintenance, and storage of documents, docketing deadlines, flagging renewal dates and notice requirements, corresponding with the business teams, assisting with the records management policy and retention schedule, and revising, drafting, proofreading and/or redlining documents, as needed.
  • Corporate Transactions: Assist with corporate transactions, including financing deals, due diligence, and document requests. Serve as the administrator for the online data room, responsible for uploading data, managing user permissions, and other matters, as necessary.
  • Corporate Governance: Coordinate and/or draft and file contracts; coordinate the document signature process using DocuSign
  • Document Management and Contracts Administration: File management and workflow, including organization and maintenance of the Legal Department SharePoint site, and filing and retrieving documents as needed.

  • Litigation Management and Support
  • Assist in-house counsel in the management of litigation matters, including subpoena responses, position statements, and other legal documents.
  • Coordinate and perform e-discovery related tasks between the Legal Department, the IT Department, external e-discovery vendors, and outside counsel including digital preservation of ESI, which may include collection, processing, review, analysis and production of ESI, and the identification, issuance, managing and tracking of document preservation notices.
  • Gather and examine documents relevant to pending litigation and investigations.
  • Maintain internal SharePoint sites and litigation databases to track the status of all pending and threatened litigation matters; prepare related reports.
  • Provide litigation support including file set-up and maintenance, ensure proper indexing and filing of legal documents, fact gathering, and maintain a discovery repository.
  • Monitors bankruptcy dockets and file proofs of claims.

  • Legal Department Administration
  • Support the Legal Department and business teams, as needed, on legal matters, special projects, project management, and document management; attend and participates in meetings as needed;
  • Manage process for engaging external services providers to the Legal Department, including arranging for new vendor set up with accounts payable, the review and processing of vendor invoices and tracking of vendor expenses on a monthly basis
  • Facilitate the review of invoices for accuracy and payment approval
  • Assist the General Counsel in the preparation of annual budgets and tracking expenditures against the budget on a monthly basis
  • Assist with calendaring and scheduling meetings, copying/scanning/filing documents, assisting with expense reports and travel requests

  • Corporate Compliance
  • Assist with administration of Corporate Compliance training programs
  • Draft and revise company compliance policies
  • Maintain databases to track corporate compliance in areas such as OFAC, FCPA and conflict of interest waivers

Education and Experience

  • 5+ years of paralegal experience
  • Prior in-house experience as a member of a legal department strongly preferred
  • Proficient in Microsoft Office (especially Outlook, Teams, Word, Excel and SharePoint), Zoom, and Adobe Pro.
  • Must have an ability and willingness to learn Westlaw, Lexis Nexis or other legal research systems and to be trained on e-discovery platforms when necessary.
  • Excellent analytical and organizational abilities, attention to detail.
  • Team player mentality.
  • Clear, concise, and logical writing style.
  • Familiarity with commercial and employment litigation processes, including document review, document productions, and discovery responses.
  • Skilled with handling complex material litigation and discovery with the ability to work with external e-discovery, internal IT department, as well as in-house/outside counsel.
  • Strong verbal and written communication skills. High level of interpersonal skills and good judgment required to handle sensitive and confidential situations.
  • Position requires a highly professional demeanor including possessing excellent tact and diplomacy and the ability to maintain the highest level of confidentiality in order to provide outstanding service to internal and external business partners.
  • Ability to work independently on multiple projects with minimal supervision in a fast-paced environment, and to be able to manage and prioritize multiple deadlines and adjust to workload fluctuations.
  • Bachelor’s degree preferred; associates degree required
  • Experience working in an organization with numerous locations is highly preferred
  • Experience in contract management is strongly preferred
  • The ideal candidate will have demonstrated prior experience in leading the improvement of business processes

  • Exempt employees are expected to work as many hours as is necessary to complete their job responsibilities. This may require they work more than eight hours a day and more than five days or 40 hours per week.
